Terms of Service

The Gate Media & Entertainment · Last updated: 4 November 2026

1. Scope

1.1 These Terms of Service apply to all contracts between The Gate Media & Entertainment, owner Gönenç Kaya, Wedekindstraße 25, 10243 Berlin, Germany ("The Gate", "we", "us") and our clients ("you") for media productions, live shows and related services.

1.2 They apply to business clients (companies, venues, agencies, organisers) and to private clients (consumers), for example couples or private hosts. Where a rule applies only to one of them, we say so.

1.3 Different or additional terms of a client only apply if we agree to them in writing. Individual agreements in an offer or contract always take priority over these terms.

2. Our services

2.1 We offer in particular:

  • Media: event videography, highlight reels, aftermovies, event photography, personal and business shoots

  • Live: live shows by dancers, musicians and DJs, wedding shows, roaming acts, flashmobs, hosts and hostesses

  • Production: show concepts, casting, choreography and coordination of stage, light and sound with partners

2.2 The exact scope of each booking (date, place, hours on site, artists, deliverables, price) is set out in our written offer. Package descriptions on our website (Silver, Golden and Diamond Gate) are examples and not binding offers.

2.3 We may use qualified partners and freelancers (for example videographers, photographers or artists) to deliver our services. We remain your contact and responsible for the service.

3. Offer and contract

3.1 You send us a request, and we send you a written offer by email. The contract is concluded when you accept the offer in writing (email is enough) or pay the deposit.

3.2 Our offers are valid for 14 days unless stated otherwise. Dates are only reserved for you once the contract is concluded.

4. Prices and payment

4.1 The prices in our offer apply. For private clients, prices include any VAT due; for business clients, VAT is added at the legal rate. [If you are a Kleinunternehmer: "No VAT is charged under § 19 UStG."]

4.2 Travel outside Berlin, accommodation for multi-day bookings, extra hours on site and special equipment are charged separately as stated in the offer.

4.3 A deposit of 30% of the total price is due within 7 days of booking. Your date is secured once the deposit is received.

4.4 The balance is due:

  • for media productions: within 7 days after delivery of the final files

  • for live shows: no later than 7 days before the event

4.5 Invoices are payable by bank transfer without deduction. If you are late with a payment, we may charge statutory default interest and pause delivery or the service until payment is made.

5. Your responsibilities

5.1 You give us all information we need in good time, especially the date, schedule, venue address, contact person on site and any special wishes.

5.2 For live shows, you provide free of charge: access to the venue, a suitable and safe stage or performance area, a power supply for music and lights, a changing room near the stage and drinking water for the artists. For bookings over 4 hours, a meal for the team.

5.3 You obtain any permits needed for the event (for example from the venue or authorities) and pay any music licence fees for the event itself, for example to GEMA.

5.4 For filming and photography, you make sure that guests know that photos and videos will be taken, for example on the invitation or with a sign at the entrance. You tell us in advance about any people who must not be filmed.

5.5 If we cannot deliver our service because you did not meet these responsibilities, our right to payment remains.

6. Changes to a booking

6.1 Please tell us about changes (date, time, place, number of artists, scope) as early as possible. We will try to make them possible. Extra effort is charged according to the offer.

6.2 Moving a booking to a new date counts as a cancellation of the original date unless we agree otherwise in writing. If we can offer the new date, we will credit payments already made.

7. Cancellation by you

7.1 You can cancel a booking at any time in writing (email is enough). Because we reserve the date for you, turn down other requests and plan artists and crew, we charge the following share of the agreed total price:

Notice before the event or shoot

Cancellation fee

more than 60 days

30% (the deposit)

59 to 30 days

50%

29 to 8 days

80%

7 days or less, or no-show

100%

7.2 You are always free to prove that we suffered no damage or a much lower damage than the fee. Expenses we have already paid on your behalf (for example travel tickets or rented equipment) are charged in addition if they cannot be cancelled.

7.3 Your statutory right of withdrawal as a consumer (section 13) remains unaffected.

8. Cancellation by us and force majeure

8.1 If an artist or crew member cannot appear because of illness or another important reason, we will provide an equivalent replacement. If that is not possible, we will tell you immediately and refund all payments for the part we cannot deliver.

8.2 Neither side is responsible for events outside its control, for example severe weather, official bans, strikes, epidemics or a closed venue (force majeure). In that case both sides are released from their duties for the affected date, and payments for services not delivered are refunded. We will try to offer a new date first.

8.3 We may stop or interrupt a performance if the safety of our artists or crew is at risk, for example through unsafe stage conditions or harassment. If you or your guests caused the risk, the full price remains due.

9. Delivery of photos and videos

9.1 We deliver the files digitally, for example by download link or online gallery. Delivery times are stated in the offer; typically: highlight reel within 24 hours, photo sneak peek within 24 hours, full photo gallery within 3–5 days, aftermovie within 1–2 weeks after the event. Times may be longer for multi-day events or if we agreed special formats.

9.2 We choose, edit and colour-grade the material according to our artistic style, which you know from our portfolio. Minor differences in style, light or composition are not a defect.

9.3 For videos, 2 rounds of changes are included. Changes must be requested in writing within 7 days of delivery. Additional rounds or a completely new concept are charged separately. If you don't request changes within 7 days, the delivery counts as accepted.

9.4 Raw footage and unedited photos are not part of the delivery unless agreed in the offer.

9.5 We keep the delivered files for at least 3 months. After that we may delete them. Please download and back up your files promptly.

10. Usage rights

10.1 After full payment, you receive a simple (non-exclusive), worldwide right, unlimited in time, to use the delivered photos and videos for your own purposes: on your website, social media, presentations and in your own advertising.

10.2 Passing the files to third parties for their own use, selling them or licensing them requires our written consent. Editing the files beyond cropping or resizing, for example with filters or AI, also requires our consent.

10.3 Music in our videos is licensed for the channels named in the offer (usually social media and your website). Use in paid ads, TV, cinema or at public events may need an additional music licence, which we can arrange for an extra fee.

10.4 We remain the author of all photos and videos. We may use them for our own portfolio, website and social media, unless you object in writing before the event or the material is confidential. On request we name you as the client.

10.5 For live shows, rights to the choreography, concept and show name remain with us and our artists. Filming of our shows by you or your guests for private use is allowed; commercial use requires our consent.

11. Our artists

11.1 Our artists are handpicked professionals. You treat them with respect and protect them from harassment by guests. Artists may only be asked to perform what was agreed in the offer.

11.2 Non-solicitation: for 12 months after an event, you may not book artists you met through us directly or through another agency without involving us. If you do, we may charge a fee of 25% of the usual booking price for each such booking. Business clients only; this does not apply to private clients.

12. Liability

12.1 We are fully liable for damage caused intentionally or through gross negligence, for injury to life, body or health, and under the German Product Liability Act.

12.2 For slight negligence, we are only liable if we breach an essential contractual duty, meaning a duty that makes the contract possible in the first place and on which you can rely. In that case our liability is limited to the typical, foreseeable damage.

12.3 If, despite all care, photos or videos are lost or damaged through a technical fault (for example a memory card failure), we are liable only up to the price of the affected service. We work with backup recording wherever possible.

12.4 We are not responsible for the venue's technical equipment, for weather conditions, or for delays caused by the event schedule, unless we caused them.

12.5 You are liable for damage to our equipment caused by you or your guests.

13. Right of withdrawal for consumers

13.1 If you are a consumer and book with us by email, phone, WhatsApp or our website (a distance contract), you have a statutory right of withdrawal. You can withdraw from the contract within 14 days without giving a reason. The period starts on the day the contract is concluded.

13.2 To withdraw, send us a clear statement, for example by email to kaya@thegatesociety.com or by letter to The Gate Media & Entertainment, Wedekindstraße 25, 10243 Berlin, Germany. Sending the statement before the period ends is enough.

13.3 If you withdraw, we refund all payments within 14 days, using the same payment method. If you asked us to start the service during the withdrawal period, you pay a fair share for the part already provided. Your right of withdrawal ends early once we have fully provided the service at your express request.

13.4 The right of withdrawal does not apply to services for leisure activities with a fixed date or period, as far as the law excludes it (§ 312g(2) no. 9 BGB).

Model withdrawal form (fill in and send back only if you want to withdraw): To The Gate Media & Entertainment, Wedekindstraße 25, 10243 Berlin, kaya@thegatesociety.com — I hereby withdraw from my contract for the following service: … · Booked on: … · Name: … · Address: … · Date: … · Signature (only on paper): …

14. Data protection

We process your personal data according to our Privacy Policy.

15. Final provisions

15.1 German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). If you are a consumer living in another country, you keep the protection of the mandatory laws of your country.

15.2 If you are a merchant, a legal entity under public law or have no general place of jurisdiction in Germany, the place of jurisdiction is Berlin.

15.3 Changes and additions to a contract must be made in writing; email is enough.

15.4 If any provision of these terms is invalid, the rest remain valid. The statutory rules apply in place of the invalid provision.

15.5 We are not willing or obliged to take part in dispute resolution proceedings before a consumer arbitration board.

15.6 These terms are written in English. If we provide a translation, the English version prevails, unless mandatory law requires otherwise.
